Bitcoin Treasury Communications: 4 Announcements Compared
By Kyle Porter, Executive Vice President & Managing Director.
Updated November 6, 2026

A bitcoin treasury announcement tells investors that a public company will hold bitcoin as a reserve asset. Four public cases show how the message can be built: Strategy in 2020, Tesla in 2021, Metaplanet in 2024 and GameStop in 2025. They differ on timing, size, risk language and whether the policy came before the purchase. This guide compares them and lists what to disclose.

What is in this guide?
What is a bitcoin treasury announcement?
A bitcoin treasury announcement is a public statement that a company has adopted bitcoin as a treasury reserve asset, bought bitcoin with its cash, or both. It is a capital allocation decision, so it belongs in the same disclosure channels as other material financial news: a press release, a filing with the SEC or the home exchange, and the next earnings materials.
The communications challenge is that the news is unusual and invites strong opinions. A company must explain why it is doing it, how much is involved, where the money came from and what risks it accepts. Investors, reporters and regulators will read every word, and the announcement will be quoted back whenever the price of bitcoin moves. Virgo PR covers the surrounding rules in Regulation FD for investor relations and forward-looking statements safe harbor.

What did each announcement do?
Strategy, 2020: policy and purchase together
MicroStrategy's release said the company had bought 21,454 bitcoin for about $250 million, including fees and expenses, and made bitcoin the principal holding in its treasury reserve strategy. It framed the move as one prong of a capital allocation plan, paired with a $250 million tender offer for its own stock. The CEO said the company spent months deliberating. The release carried forward-looking statement language that named bitcoin price volatility and regulatory uncertainty. Lesson: explain the decision as part of a larger capital plan, and say how long the board considered it.
Tesla, 2021: a filing, not a campaign
Tesla disclosed a $1.5 billion bitcoin purchase in an SEC filing and said the move gave it more flexibility to diversify and maximize returns on its cash. The filing carried the announcement without a marketing push. The market reaction was large: bitcoin set a record that day and Strategy's stock jumped 29 percent. Lesson: a short, factual disclosure can move markets on its own. The less the company says, the more others will interpret.
Metaplanet, 2024: a small company with a clear signal
Metaplanet, listed in Tokyo, announced through a board resolution notice that it would adopt bitcoin as the primary component of its treasury assets, funded by a stock acquisition rights transaction. It committed 1 billion yen, a small amount, and completed its first purchase of 97.85 bitcoin later that month. Press reports described it as the first Tokyo-listed company to do so. Lesson: a modest first step can still be a strong signal if the policy is stated clearly and the company follows with regular purchase disclosures.
GameStop, 2025: policy first, purchase later
GameStop's board authorized a revised investment policy on March 18, 2025, and the company announced on March 25 that the policy added bitcoin as a treasury reserve asset. It set no maximum amount and said it may sell bitcoin it acquires. Shares fell double digits at the time. On May 28 it announced the purchase of 4,710 bitcoin, and shares fell again, about 8 percent in morning trading. Lesson: separating the policy from the purchase gives investors two reactions and two chances to explain. It also tests whether the first announcement was clear about how much the company intended to buy.
What patterns show up across the four?
-
Channel matters. Strategy used a press release, Tesla a filing and Metaplanet an exchange notice. The channel should match where investors look for material news.
-
Amount and cost are central. Three of the four gave a dollar figure or a bitcoin count.
-
Framing is capital allocation. Strategy, Tesla and GameStop described the decision as treasury or cash management, not as a bet on a price.
-
Limits were stated by some. GameStop said there was no cap and that it may sell, which is honest about flexibility.
-
Reactions varied. Strategy and Metaplanet saw share price gains, while GameStop's shares fell. The reactions suggest that investor views depend on the company's starting point, not only on the wording.
What is the step-by-step plan?
-
Get board approval. Record the policy, limits, custody approach and who can authorize purchases.
-
Settle accounting and controls. Finance and auditors confirm how holdings will be recorded and secured.
-
Decide policy first or purchase first. Choose whether to announce policy, purchase or both, and plan for two news cycles if they are separate.
-
Write the rationale. Explain in plain language why bitcoin, why this amount and why now.
-
State the numbers. Give the amount, cost, funding source and any caps.
-
Add risk language. Name price volatility, regulation, custody and accounting risks. Use the safe harbor language.
-
File and release together. Release to everyone at once and file the required form. See earnings release Form 8-K items for how filings pair with releases.
-
Set an update cadence. Decide when and how holdings will be disclosed after each purchase or sale and stick to it.
-
Prepare the Q&A. Draft answers on funding, risk, accounting and what happens if the price falls.
What should the announcement avoid?
-
Price predictions or promises of returns.
-
Vague amounts such as "a portion" without any size or cap if you can give one.
-
Promotional language about bitcoin that reads as advocacy rather than disclosure.
-
Silence about risks, funding or the ability to sell.
-
Inconsistent updates. Missing a promised disclosure damages trust faster than the original news.

Frequently asked questions
What is a bitcoin treasury company?
The term describes a public company that holds bitcoin as a significant reserve asset. Strategy popularized the model in 2020, and others followed with varying scale and approach.
Should the policy and the purchase be announced together?
Strategy announced both at once. GameStop announced the policy in March 2025 and the purchase in May. Announcing together creates one news cycle. Separating them gives two but requires clear guidance on intent.
Where should a company disclose the purchase?
Use the channels investors rely on: a press release, a filing with the SEC or the home exchange, and the next earnings materials. Tesla used a filing, Metaplanet an exchange notice and Strategy a press release.
What risks should the announcement mention?
Price volatility, regulatory uncertainty, custody and security, accounting treatment and the funding source. Strategy's release named price volatility and regulatory treatment as risk factors.
Does a bitcoin announcement move the share price?
Reactions differ. Strategy and Metaplanet shares rose after their announcements, while GameStop's fell. The starting point of the company and market conditions matter as much as the wording.
