Short Seller Response: 4 Rebuttals Compared, 2023 to 2024
Key takeaway

Short seller response compared: how Adani, Block, Icahn Enterprises and Super Micro replied to short reports, what each said, and what IR teams can copy.

A short seller response works best when it is fast, specific and backed by documents investors can check. Four public companies replied to short reports in very different ways: Adani with a 413-page rebuttal in 2023, Block with a five-sentence statement followed by a longer reply, Icahn Enterprises with a same-day statement and a dividend, and Super Micro with a filing, a special committee and a delayed annual report. Each reply carried trade-offs that investor relations teams can study.

Updated November 7, 2026. This is a communications review, not legal advice. Short seller allegations are claims by parties with a financial interest, and each company disputed them.

What should you compare in a short seller response?

Compare the speed of the first statement, the form of the answer, the evidence offered and what happened next. A response has to work in a live market, where investors decide in hours whether to wait for a fuller explanation. The four cases below differ on each point, and none produced a clean result, which is why they are useful to study.

Virgo's earlier analysis of Adani's reply is in the guide to the Adani 413-page rebuttal. This page sets it beside three other replies.

How did Adani respond in 2023?

Adani Group answered Hindenburg Research's January 24, 2023 report with a 413-page document on January 29, and its flagship company withdrew a 20,000 crore rupee share offering on February 1. The core narrative ran 54 pages, with more than 350 pages of annexes that gathered past filings and rulings, and the company said most of Hindenburg's questions concerned information already disclosed. Hindenburg called the reply evasive. The full account, with sources, is in Virgo's guide to the Adani short seller response.

Form: a long, documentary rebuttal. Lesson: volume and verification are different things, and framing the issue as an attack on a country did not answer the specific questions investors had.

How did Block respond?

Block answered Hindenburg's March 23, 2023 report within hours with a short statement calling it inaccurate and misleading and saying it would work with the SEC and explore legal action. A commentator described the first reply as five sentences long, and coverage said it was widely criticized as dismissive. Sources: 24/7 Wall St. report and Wccftech coverage of the reaction.

A week later Block issued a longer response. It said it had reviewed the report against its own data and identified inaccuracies, including that 44 million of roughly 51 million monthly active users had been verified through its verification program. Shares rose that day, according to InvestorPlace. Source: InvestorPlace report on the longer response. Block's shares had closed down 14.82% on the day of the report, according to CoinMarketCap's account. Source: CoinMarketCap Academy.

Form: a short denial followed by a data-led reply. Lesson: speed helped signal a position, but a thin first statement drew criticism, and the longer reply with a concrete figure did more to move sentiment.

How did Icahn Enterprises respond?

Icahn Enterprises issued a statement on May 2, 2023, the day of Hindenburg's report, calling it self-serving and saying the company had about $2 billion of cash and equivalents as of March 31. Sources: IEP statement and Fortune report. Reports of the share drop differed, with Reuters citing 25% on the first day and others citing about 20%.

On May 4 the company announced a $2 per unit distribution payable in cash or units, saying the disruption did not affect liquidity, according to Bloomberg. Source: Bloomberg report via Daily Maverick. On May 10 it issued a longer reply with tables comparing its figures across periods and quoting an American Bankers Association statement on short selling. Source: IEP response of May 10.

Form: a same-day statement, a financial action and a data reply. Lesson: pairing words with an action aimed at long-term holders addressed liquidity worries, while leading with the short seller's motives gave readers a reason to focus on tone.

How did Super Micro respond?

Super Micro responded to Hindenburg's August 27, 2024 report by delaying its annual report, writing to customers and later denying wrongdoing in a securities filing. One report said the stock fell nearly 20% on August 28 after the delay. Barron's reported that the company said the report contained false or inaccurate statements and misleading presentations of information. Sources: AfroTech report and Barron's report on the delayed 10-K.

The situation then moved beyond the report. The company's later annual report says its auditor, Ernst & Young, raised concerns in late July 2024, the board formed a special committee, and EY resigned on October 24, 2024. Source: Super Micro 10-K explanatory note. Shares plunged 33% on October 30 when this was disclosed, according to SiliconANGLE. Source: SiliconANGLE. On December 2 the committee said it found no evidence of misconduct. Source: CNBC via NBC Miami. The delayed 10-K was filed in February 2025, and Barron's reported shares up 23% after hours.

Form: a denial, a process and a long timeline. Lesson: an independent review can help, but it takes months, and a delayed filing becomes its own story while the market waits.

What can an IR team copy?

  • Reply fast, but not thinly. A short holding statement is fine if it promises a dated, specific follow-up.

  • Lead with facts. Open with figures investors can check, and keep the short seller's motives to a single sentence if mentioned at all.

  • Number the allegations. Map each reply to a filing, page and date, as covered in Virgo's Adani analysis.

  • Match words with action. A step that addresses investor concern, such as a liquidity statement or distribution, can carry weight.

  • Do not selectively brief. Follow disclosure rules when speaking to holders, as set out in the guide to Regulation FD for investor relations.

  • Be careful with forward claims. Review projections and assurances with counsel, as explained in the guide to forward-looking statements.

  • Plan for a long tail. Reviews, auditors and filings can extend the story, so prepare updates on a schedule.

Teams that expect pressure from holders can also read the activist investor defense plan, and smaller issuers can see best small-cap investor relations firms.

Frequently asked questions

Should a company respond to every short seller report?

Not necessarily. Respond when claims are specific, checkable and threaten a transaction or investor confidence, after counsel review.

How fast should a company reply?

A holding statement can come within hours, with a detailed reply on a stated date, but speed should not replace accuracy.

Is a long rebuttal better than a short one?

Not by itself. Investors reward answers they can verify against filings, so length matters less than specificity.

Does an independent review help?

It can add credibility but takes time, and delays to filings can become a story of their own.

Should the response attack the short seller?

Pointing out a short position is a fact investors can weigh, but leading with motives tends to shift attention from the evidence.

Can PR end a short seller campaign?

No. Communications can inform investors, but outcomes depend on the facts and on the market.
